Software License Agreement



1. LICENSE : Siborg Systems Inc. ("Siborg") as Licensor, grants you, the licensee ("you"), a non-exclusive and non-transferable license to use ORChem on a single computer at a single location.  You may not distribute, copy, duplicate, lease, assign or transfer copies ORChem to others.  You may not copy, duplicate or reproduce ORChem.  You may not electronically transfer ORChem from one computer to another.  



2. Proprietary rights: As Licensee, you own only the media on which ORChem is originally or subsequently recorded.  Siborg retains all rights, title and interest in ORChem unless they have been licensed to a third party.  You may not decompile, disassemble, or otherwise reverse engineer ORChem without prior consent of Siborg.  



3. Term: This Agreement is perpetual unless terminated by Siborg if you fail to comply with any provisions of this Agreement.  You agree, upon such termination, to destroy all copies of ORChem and relevant documentation.  The proprietary rights shall survive termination of this Agreement.  



4. No Warranty: ORChem and accompanying documentation are provided "as is" without warranty of any kind.  The entire risk as to the results and performance of ORChem is assumed by you. 



5. Disclaimer and Limitation of Liability: Neither Siborg nor anyone else who has been involved in the creation, production, or delivery of ORChem shall be liable for any direct, consequential, or incidental damages arising out of use, the result of use, of inability to use such product even if Siborg has been advised of the possibility of such damages or claim.  



6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Province Ontario, Canada.
